Terms
Last updated: October 15th, 2026
IMPORTANT — PLEASE READ CAREFULLY BEFORE USING THIS PLATFORM. By accessing or using the Kabuni Platform in any form, you agree to be legally bound by these Terms of Use. If you do not agree with any part of these Terms, you must immediately cease using the Platform. If you are under 18 years of age, you may only access the Platform with the verified consent of a parent or legal guardian as set out in Section 3. These Terms contain important provisions on limitation of liability (Section 9.2) and your indemnity obligations to Kabuni (Section 9.4). Please read those sections carefully.
1. About Kabuni and These Terms
Who We Are
We are Kabuni Sport Private Limited, a company incorporated under the Companies Act, 2013, bearing Corporate Identification Number U85410MR2026FTC473452, with registered office at Office 208, 2nd Floor, Devavrata, Sector 17, Vashi, Navi Mumbai 400 703, Maharashtra, India. We are referred to in these Terms as “Kabuni”, “we”, “us”, or “our”. We are part of the Kabuni group of companies, which includes Kabuni Sports Limited, a company incorporated in England and Wales (Company No. 16604952). These Terms govern Kabuni’s India-facing Platform operations only and are governed by Indian law. Users based outside India should refer to the terms published by Kabuni Sports Limited at www.kabuni.com/terms.
Our Platform
The term “Platform” in these Terms refers collectively to all of the following:
- The Kabuni website at www.kabuni.com and any India-facing pages, subdomains, or microsites (“Website”);
- The Kabuni mobile application, available on iOS and Android platforms (“App”);
- The Kabuni AI-enabled hardware coaching device (“Device”);
- The Kabuni PlayOS software platform, analytics dashboards, and associated backend services;
- The Kabuni Scout Programme;
- The Kabuni Premier League (“KPL”) and all other Kabuni-organised cricket events, competitions, trials, and challenges (collectively, “Events”); and
- All content, features, tools, communications, analytics, and services made available through any of the above.
At the date these Terms take effect, the Platform comprises the Kabuni website (www.kabuni.com) and its enquiry forms. The App, Device, PlayOS, Scout Programme, and KPL / Event registration features are not yet live and will be made available in subsequent phases. These Terms apply in full to each feature as and when it is made available.
Users to Whom These Terms Apply
These Terms apply to all persons accessing or using any part of the Platform, including:
- Individual users — persons accessing the Website or App for personal use, including those registering on the waitlist or for the Kabuni Scout Programme;
- Minor users — persons under 18 years of age, whose use of the Platform requires verified parental or legal guardian consent under Section 3 of these Terms;
- Event participants — individuals, players, or teams registering for Kabuni Events including the KPL, who are subject additionally to the KPL / Event-Specific Terms; and
- Institutional users — schools, academies, coaching centres, sports organisations, and other bodies accessing the Platform on a business-to-business (B2B) basis, whose rights and obligations are further governed by separate B2B agreements executed with Kabuni.
Where you access the Platform in your capacity as an institutional user under a B2B agreement, these Terms apply to the extent they are not superseded by that agreement. In the event of any conflict between these Terms and a B2B agreement, the B2B agreement prevails.
Related Documents
These Terms must be read together with the following documents, which collectively form the legal framework governing your use of the Platform:
- Kabuni Privacy Policy (India) governs the collection, processing, and protection of your personal data and is incorporated into these Terms by reference;
- KPL / Event-Specific Terms apply as an additional layer governing all Event registrations and participation; and
- Any B2B agreement, Order Form, or service schedule executed between Kabuni and your institution.
Order of precedence in case of inconsistency: a B2B agreement prevails over these Terms; these Terms prevail over the KPL / Event-Specific Terms on general Platform matters; the KPL / Event-Specific Terms prevail over these Terms on matters of Event eligibility, conduct, scheduling, refunds, and accident liability.
Updates to These Terms
Kabuni reserves the right to revise these Terms at any time. When material changes are made, we will: update the Effective Date at the top of this document; and notify registered users by email or in-app notification at least 14 days before the changes take effect. Your continued use of the Platform after the revised Terms take effect constitutes your acceptance of those revised Terms. If you do not accept the revised Terms, you must stop using the Platform before they take effect.

2. Eligibility and Account Creation
Minimum Age for Independent Use
You must be at least 18 years of age to independently create a Kabuni account, submit personal information, make payment transactions, or provide any consent on the Platform. If you are under 18 years of age, you are a “Minor” and your use of the Platform is governed by Section 3 of these Terms.
By entering a date of birth at registration that indicates you are 18 or over, you represent and warrant that this information is accurate and truthful. Deliberately providing a false date of birth to circumvent the Minor consent requirements in Section 3 is a material breach of these Terms and may constitute an offence under applicable Indian law.
Account Registration Requirements
To access Kabuni’s personalised features (including Event registration, the App, Device connectivity, and the Scout Programme), you must register and create a Kabuni account. By registering, you agree to:
- Provide accurate, complete, current, and truthful registration information including your full legal name, date of birth, gender identity, sex assigned at birth (where operationally required for sports categorisation), and valid contact details;
- Keep your username, password, and login credentials strictly confidential and not share them with any other person;
- Not register an account on behalf of any other individual without their express, informed consent (except where registering a Minor under the Guardian consent mechanism in Section 3);
- Notify us immediately at privacy@kabuni.com if you become aware of any unauthorised access to, or use of, your account; and
- Accept full responsibility for all activities conducted through your account, including purchases, Event registrations, data submissions, and content uploads.
Account Information Accuracy
You are responsible for maintaining the accuracy and currency of your account information at all times. If any information changes (including your contact details, school or institutional affiliation, or Guardian details for a Minor), you must update your account promptly. Kabuni is not responsible for any loss, error, or consequence arising from your failure to maintain accurate account information.
Institutional Account Holders
Where a school, academy, coaching centre, or other institution registers on the Platform on behalf of its students, coaches, or participants:
- The institution acts as the account holder, primary administrator, and responsible party for all users registered through it;
- The person completing registration on behalf of the institution warrants that they are duly authorised to bind the institution and have obtained all necessary internal approvals;
- The institution is solely responsible for ensuring that all individuals accessing the Platform through its account have the appropriate consents, authorisations, and supervisory oversight in place — including parental or guardian consent for Minor participants; and
- Kabuni’s contractual relationship is with the institution as an entity, not with any individual student, player, coach, or participant associated with the institution.
Commercial access by institutions is governed by the applicable B2B agreement (Heads of Terms, Research and Pilot Program Agreement, or Commercial Deployment Agreement), which prevails over these Terms.
Account Suspension and Termination
Kabuni reserves the right to suspend, restrict, or permanently terminate your account at any time, with or without prior notice, in the following circumstances:
- You are in material breach of any provision of these Terms;
- We have reasonable grounds to believe that information you have provided is false, inaccurate, or materially misleading;
- You have misrepresented your age, identity, or authority to act on behalf of another person or institution;
- Your account has been used for fraudulent, abusive, unlawful, or harmful activity;
- We are required to suspend or terminate your account by applicable law, court order, or direction of a competent regulatory authority; or
- Your account has not been accessed for a continuous period of 24 months (inactive account).
Where suspension or termination is not for breach, Kabuni will provide at least 30 days’ notice by email to your registered address. Where suspension or termination is for breach or for legal compliance reasons, it takes effect immediately and may be permanent. Upon termination, your licence to use the Platform ceases entirely. Kabuni’s obligations regarding the retention and deletion of your personal data on termination are set out in the Privacy Policy (India).
3. Minor Users — Guardian Consent Architecture
Who Is a Minor
A “Minor” means any person under 18 years of age as at their date of registration on the Platform, in accordance with Indian law including the Juvenile Justice (Care and Protection of Children) Act, 2015 and the DPDP Act. Minor status is determined automatically from the date of birth entered at the time of registration.
OTP-Based Or Token Based Parental Verification — Step by Step
Where the date of birth entered at registration indicates that the user is under 18 years of age, the registration process will operate as follows:
- Step 1 — The system detects Minor status based on the date of birth entered and immediately pauses the registration process;
- Step 2 — The user (or the person completing registration on their behalf) is prompted to enter the mobile number of the Minor’s parent or legal guardian (“Guardian”);
- Step 3 — A one-time password (OTP) is sent to the Guardian’s mobile number via SMS;
- Step 4 — The Guardian must enter the OTP on the registration screen to confirm their awareness of and consent to the Minor’s registration and data processing;
- Step 5 — Upon successful OTP entry, the registration proceeds and the Minor’s personal data is processed; and
- Step 6 — A timestamped consent log is automatically created, recording: the Guardian’s mobile number, the OTP verification status, and the date and time of verification.
If OTP verification fails, or if the Guardian does not complete verification within the session timeout period, the registration will not be accepted and no personal data of the Minor will be stored or processed by Kabuni. The Minor (or the person registering on their behalf) may re-attempt registration with the Guardian present to complete the OTP step.
Guardian Information Required
At the time of a Minor’s registration, the following Guardian information must be provided and is collected solely for the purposes of consent verification and emergency communication:
- Full name of the parent or legal guardian;
- Relationship to the Minor — selected from a dropdown: Mother / Father / Legal Guardian / Grandparent / Sibling / Other (with a free-text description field if ‘Other’ is selected);
- Guardian’s mobile number — used for OTP verification and for emergency communication at Events; and
- Guardian’s email address — used for account notifications, correspondence, and Event-related communications.
Guardian information will not be used for marketing communications without a separate, express, and independently obtained opt-in consent from the Guardian.
Registering Multiple Minors
Where a parent, Guardian, or institutional administrator registers multiple Minors under a single account or through a single registration session, they represent and warrant by doing so that: they hold full parental or guardian authority to provide consent on behalf of each Minor registered; the personal data submitted for each Minor is accurate and complete to the best of their knowledge; and they understand and accept these Terms, the Privacy Policy (India), and any applicable Event-Specific Terms on behalf of each Minor.
Age Misrepresentation by a Minor
If a Minor provides a false date of birth indicating they are 18 or over in order to bypass the Guardian consent flow, and Kabuni subsequently discovers this misrepresentation, Kabuni may at its discretion take one or more of the following steps:
- Immediately suspend or permanently terminate the Minor’s account;
- Delete all personal data collected under the misrepresented account;
- Disqualify the Minor from any ongoing or future Kabuni Events without refund of any Registration Fee paid;
- Notify the Minor’s school or institution; and
- Notify the Minor’s parent or Guardian.
Kabuni will not be liable for any processing of a Minor’s personal data that occurred prior to discovery, as a direct result of the Minor’s own deliberate misrepresentation.
Kabuni’s Obligations Regarding Minor Data
In respect of all Minor users, Kabuni undertakes to:
- Not collect, process, store, or retain any personal data of a Minor without prior verified Guardian consent obtained through the OTP mechanism;
- Not engage in behavioural monitoring, profiling, or targeted advertising directed at Minors;
- Not sell, license, or share any Minor’s personal data with any third party for marketing or commercial purposes;
- Not use any Minor’s individually identifiable video footage or biometric data to train, validate, or improve Kabuni’s AI models without a further, separate, specific parental consent (Consent D, as described in the Privacy Policy);
- Apply data minimisation principles — collecting only the personal data of Minors that is strictly necessary for the services being provided; and
- Maintain Guardian consent logs (including OTP verification records) for a minimum of 3 years.
Guardians may at any time request access to, correction of, or deletion of a Minor’s account and associated personal data by contacting privacy@kabuni.com.
POCSO Act — Mandatory Reporting Obligation
All adult persons who accompany Minor participants at any Kabuni Event — including coaches, teachers, school representatives, and Guardian escorts — are mandatory reporters under the Protection of Children from Sexual Offences Act, 2012 (“POCSO Act”). Any incident, or reasonable suspicion of an incident, involving abuse, inappropriate physical contact, or sexual misconduct in connection with any Kabuni activity or Event must be: immediately reported to Kabuni’s Event Manager; and, where required under Section 19 of the POCSO Act, reported to the local police. Failure to report a known or reasonably suspected offence is itself a criminal offence under Section 21 of the POCSO Act. Kabuni will cooperate fully with any reporting obligation, investigation by law enforcement, or inquiry by a child welfare authority.

Platform Outputs — Informational Purpose and Disclaimer
All outputs generated by the Platform, including AI-based performance analysis, pose estimation data, joint angle and biomechanics reports, coaching feedback, session summaries, benchmark comparisons, talent indicators, highlight reels, and all other analytics or results (collectively, “Outputs”), are provided for informational and educational purposes only.
Outputs do not constitute, and must not be relied upon as:
- Medical advice, clinical diagnosis, fitness-to-play assessment, or healthcare guidance of any kind;
- Professional talent identification, scouting certification, or selection recommendation for any competitive level;
- Safety-critical guidance or injury risk assessment;
- A substitute for the independent judgment of a qualified coach, sports scientist, physiotherapist, or medical professional; or
- Evidence or certification of a player’s ability, potential, or fitness for any particular competitive standard.
Kabuni does not guarantee any particular athletic outcome, performance improvement, talent recognition, or competitive result arising from use of the Platform or Device. All decisions relating to coaching methodology, player training, participant selection, and participant welfare remain entirely and exclusively with the user, institution, or appointed professional coach.
If any Output appears to indicate a potential health concern, injury risk, or unusual physical condition, the Participant should consult a qualified medical professional before continuing training or competition. Outputs must never be used as a substitute for professional medical evaluation.
Automated Processing Disclosure
Certain features of the Platform involve automated processing of personal data — specifically, video footage and biometric movement data — to generate Outputs. This automated processing does not produce decisions that have legal or similarly significant effects on your rights or status. Outputs are informational tools that support, not replace, human judgment. If you have any concern about an Output generated by automated processing, you may contact grievanceofficer@kabuni.com to request a review and explanation.
Third-Party Websites and Links
The Platform may contain links to third-party websites, social media platforms, or external services (including Kabuni’s Instagram, Facebook, and LinkedIn pages). Kabuni does not control, operate, or take responsibility for the content, terms, privacy practices, or availability of any third-party website. Accessing a third-party website through a link on the Platform is at your own risk. We recommend reading the terms of use and privacy policy of any third-party site before providing your personal information to it.
5. Kabuni Device — Specific Terms of Use
Nature of Device Provision
Kabuni’s hardware coaching device may be provided to you or your institution in connection with a B2B agreement, an Event deployment, or a subscription arrangement. Unless Kabuni expressly transfers title to the Device in writing, the Device remains at all times the property of Kabuni (or the relevant Kabuni group entity). Your right to use the Device is a limited, non-exclusive, non-transferable, revocable licence for the duration of your subscription, pilot, or Event engagement only.
Your Obligations in Relation to the Device
If you have access to a Kabuni Device, you must:
- Use the Device only in accordance with Kabuni’s instructions, user guidelines, and the applicable B2B agreement or Order Form;
- Keep the Device secure and protected from unauthorised access, theft, water damage, impact damage, and environmental damage;
- Not tamper with, modify, disassemble, open, or attempt to access the Device’s firmware, hardware components, embedded software, or memory;
- Not attempt to extract data from the Device through any means other than the Platform’s authorised application interfaces;
- Not connect the Device to any unauthorised network, server, or third-party system;
- Promptly notify Kabuni in writing of any loss, theft, damage, malfunction, or suspected security breach involving the Device; and
- Return the Device in good working condition (reasonable wear and tear excepted) upon the expiry or termination of the applicable agreement, or promptly upon Kabuni’s written request.
Liability for Loss or Damage to the Device
If the Device is lost, stolen, or damaged while in your possession or under your control — whether through negligence, accident, misuse, or otherwise — you may be liable for the reasonable cost of repair or replacement, as communicated to you by Kabuni in writing. The specific terms governing loss/damage liability, repair or replacement costs, and the RMA (return/replacement) process will be set out in the applicable B2B agreement or Order Form. Where no B2B agreement specifically addresses this, Kabuni will communicate the applicable charge in writing before invoicing you for it.
Data Captured by the Device
The Device captures video footage, session metadata, and biometric movement data of the players being recorded (“Device Data”). Device Data is transmitted to Kabuni’s AI platform for processing. By using the Device, you confirm that:
- You have obtained all necessary consents from every individual who appears in Device footage, including verified Guardian consent for each Minor recorded, prior to their participation in any recording session;
- You will not initiate any recording of an individual who has not expressly consented (or whose Guardian has not provided consent) to being recorded;
- You will handle all Device Data in accordance with the Privacy Policy (India) and applicable law, including the DPDP Act; and
- You will not attempt to extract, copy, transfer, or share Device Data by any means other than through the Platform’s authorised interfaces.
6. Payments, Fees, and Billing
Payment Processing
All payments made through the Platform are processed by Razorpay Software Private Limited, a payment aggregator duly licensed by the Reserve Bank of India. By completing any payment on the Platform, you agree to Razorpay’s terms of service and privacy policy, available at razorpay.com. Kabuni does not store, retain, or have access to your full payment card details, bank account numbers, UPI Virtual Payment Addresses, or linked bank credentials. All payment data is handled by Razorpay in accordance with applicable PCI-DSS and RBI payment security standards.
Fees and Pricing
All fees payable for Platform features, subscriptions, and Event registrations will be clearly communicated to you at the time of purchase or registration, before payment is required. Unless expressly stated otherwise, all amounts are quoted in Indian Rupees (INR) and are inclusive of applicable Goods and Services Tax (GST). Kabuni reserves the right to update its pricing at any time, provided that any change to pricing applicable to an active, existing subscription will be communicated by email at least 30 days before it takes effect, with the option to cancel your subscription before the new pricing applies.
Guardian Payment Responsibility for Minors
Where a Minor is being registered for a paid Event or paid Platform feature, the payment transaction is the financial responsibility of the Guardian who verified their consent through the OTP mechanism under Section 3. By completing payment for a Minor’s registration, the Guardian confirms that they are duly authorised to complete the transaction and accepts financial responsibility for all fees arising from that registration.
Failed or Declined Transactions
If a payment is declined or fails due to insufficient funds, a bank error, expired card, or payment gateway interruption, your registration or access request will not be confirmed. Kabuni is not responsible for failed transactions arising from causes outside Kabuni’s control. For any failed transaction query, contact hello@kabuni.com with your transaction reference number and registered email address.
Refunds — Platform Subscriptions
Refund rights in connection with specific Event registrations are governed by the KPL / Event-Specific Terms. In respect of Platform subscriptions and other paid features (excluding Events):
- Subscription fees are generally non-refundable once a subscription period has commenced and you have accessed the subscribed features;
- If Kabuni materially reduces the features available under your active subscription without reasonable notice, you may be entitled to a pro-rata refund for the remaining unused subscription period;
- If the Platform is unavailable for a continuous period exceeding 72 hours due to a fault on Kabuni’s side (excluding scheduled maintenance communicated in advance), you may be entitled to a service credit equivalent to the pro-rata value of the downtime; and
- All refund and credit requests must be submitted to hello@kabuni.com within 30 days of the event giving rise to the claim.

All intellectual property rights in the Platform — including but not limited to the Website, App, Device, PlayOS software, artificial intelligence models, machine learning pipelines, pose estimation and biomechanics processing systems, benchmark construction methodology, performance analytics frameworks, scoring and consistency indices, talent identification logic, coaching content, audio-visual content, match formats, tournament structures, branding, logos, trademarks, trade dress, and all Outputs generated by the Platform — are owned by Kabuni and/or its group entities or licensors (collectively, “Kabuni IP”). Nothing in these Terms transfers any ownership of Kabuni IP to you.
Kabuni’s brand name and associated marks are applied for trademark registration in India. The symbol ™ is used to indicate a trademark claimed by Kabuni. The symbol ® may only be used upon confirmed registration in the relevant jurisdiction. Any unauthorised use of Kabuni’s name, marks, logos, or branding is strictly prohibited.
Licence to You
Subject to your compliance with these Terms, Kabuni grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform solely for the permitted purposes described in Section 4. This licence does not include the right to: reproduce, republish, or publicly display any part of the Platform or its content; create derivative works from any part of the Platform; sublicense, sell, transfer, or assign your access rights to any other person; or use the Platform for any commercial purpose not expressly authorised by Kabuni in writing.
User-Generated Content
If you upload, submit, or make available any content through the Platform — including video footage, images, session data, feedback, or comments (“User Content”) — you grant Kabuni a non-exclusive, royalty-free, worldwide licence to use, process, reproduce, and analyse that User Content for the purposes of: providing Platform services to you; improving and developing the Platform’s AI capabilities using aggregated and anonymised data only (such that no individual is identifiable from the data used); and fulfilling Kabuni’s contractual and legal obligations. You retain ownership of your User Content. You represent and warrant that you own or have obtained all rights and consents (including parental or guardian consent for any Minors appearing in footage) necessary to grant Kabuni this licence.
Third-Party Content
The Platform may display or link to content owned by third parties. Kabuni does not claim ownership of third-party content and is not responsible for its accuracy, legality, or availability.
8. Kabuni Scout Programme
Programme Overview
The Kabuni Scout Programme is a grassroots ambassador initiative through which enrolled students and young players represent and promote Kabuni’s platform and Events within their schools, academies, and communities. The Scout Programme does not create any employment, agency, franchise, contractor, or fiduciary relationship between Kabuni and any Scout. Scouts act as community volunteers and ambassadors. No compensation is guaranteed for Scout activities unless expressly stated in writing in the Scout Programme guidelines communicated to the Scout at the time of acceptance. Any rewards, recognition, or incentives offered through the Programme are at Kabuni’s sole discretion and do not constitute remuneration for services rendered.
9. Disclaimer and Limitation of Liability
Platform Provided ‘As Is’
The Platform is provided on an ‘as is’ and ‘as available’ basis without warranties of any kind. To the fullest extent permitted by applicable Indian law, Kabuni expressly disclaims all warranties, express or implied, including but not limited to: uninterrupted, error-free, or secure availability of the Platform; accuracy, completeness, or fitness for purpose of any Output; freedom from viruses, malicious code, or harmful components; compatibility with your specific device or operating system; or achievement of any particular sporting, health, or performance result from Platform use.

To the maximum extent permitted by applicable Indian law, Kabuni’s aggregate liability to you — whether in contract, tort (including negligence), under statute, or otherwise — arising from or in connection with your use of the Platform, shall be limited to the greater of:
- The total amount actually paid by you to Kabuni in the three calendar months immediately preceding the event giving rise to the claim; or

In no event will Kabuni be liable for any of the following types of loss, even if Kabuni has been advised of the possibility of such loss:
- Indirect, incidental, consequential, or special loss or damage;
- Loss of revenue, profits, business opportunity, anticipated savings, or contracts;
- Loss or corruption of data or software;

Force Majeure
Kabuni will not be in breach of these Terms and will not be liable for any failure or delay in performing its obligations to the extent that such failure or delay is caused by circumstances beyond Kabuni’s reasonable control, including: acts of God, natural disasters, floods, earthquakes, pandemics, or epidemics; government actions, orders, regulations, restrictions, or embargoes; war, terrorism, civil unrest, riots, or industrial action; failure or disruption of telecommunications, internet connectivity, or power supply infrastructure; or any other event or cause beyond Kabuni’s reasonable control.
Where a force majeure event continues for more than 30 consecutive days, either party may terminate the affected service by written notice, without further liability, subject to the survival of data protection, confidentiality, and payment obligations accrued before termination.
Your Indemnity to Kabuni
You agree to fully indemnify, defend, and hold harmless Kabuni and its officers, directors, employees, agents, group entities, and successors (“Kabuni Parties”) from and against all claims, demands, proceedings, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from or in connection with:
- Your breach of any provision of these Terms;
- Any misrepresentation you have made regarding your age, identity, or authority to act on behalf of another person or institution;
- Your failure to obtain required parental or Guardian consents for a Minor under your care or administration;

- Your negligent, reckless, or wilful misconduct in connection with use of the Platform or attendance at any Event; or
- Any claim by a third party arising from your use of the Platform in violation of these Terms.
Non-Excludable Liability
Nothing in these Terms excludes or limits Kabuni’s liability for: death or personal injury caused by Kabuni’s negligence or the negligence of Kabuni’s employees or agents acting in the course of their employment; fraud or fraudulent misrepresentation; or any other liability that cannot be lawfully excluded or limited under applicable Indian law, including mandatory consumer protection rights under the Consumer Protection Act, 2019.
10. Data Protection and Privacy

12. Governing Law and Dispute Resolution
Governing Law
These Terms are governed by and construed in accordance with the laws of India. The courts at Mumbai, Maharashtra shall have exclusive jurisdiction to adjudicate any dispute arising from or in connection with these Terms or the Platform.
Informal Resolution First
Before initiating formal legal or arbitral proceedings, you agree to first attempt to resolve the dispute informally by contacting Kabuni at grievanceofficer@kabuni.com with a full written description of the dispute. Kabuni will endeavour to respond within 15 Business Days with a proposed resolution. If the dispute is not resolved informally within 30 days of the initial notification, either party may proceed to formal dispute resolution.
Arbitration for B2B Disputes
For disputes between Kabuni and institutional users (schools, academies, organisations) not resolved through informal resolution, the dispute shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted before a sole arbitrator agreed upon mutually between the parties within 14 days of the referral notice, or if not agreed, appointed by the competent court. The seat of arbitration shall be Mumbai. Proceedings shall be conducted in English. The arbitral award shall be final and binding on both parties and enforceable in accordance with applicable law.
13. General Provisions
Entire Agreement
These Terms, together with the Privacy Policy (India), the KPL / Event-Specific Terms (where applicable), and any B2B agreement in force between the parties, constitute the entire and exclusive agreement between you and Kabuni in relation to your use of the Platform. They supersede all prior oral or written communications, representations, negotiations, or agreements relating to the same subject matter.
Severability
If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable. If such modification is not possible, the provision shall be severed from these Terms. Severance of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.
No Waiver
Kabuni’s failure or delay in exercising any right, power, or remedy under these Terms on any occasion shall not operate as a waiver of that right, power, or remedy on any subsequent occasion, and shall not constitute a waiver of any other right, power, or remedy. A waiver of any specific breach of these Terms shall not constitute a waiver of any subsequent breach of the same or any other provision.
Assignment
You may not assign, transfer, sub-contract, or otherwise deal with your rights or obligations under these Terms without Kabuni’s prior written consent. Kabuni may assign these Terms or any of its rights under them to any member of the Kabuni group of companies, or to a successor entity in connection with a merger, acquisition, restructuring, or sale of assets, and will provide you with reasonable notice of any such assignment.
Relationship of Parties
Nothing in these Terms creates or implies any partnership, joint venture, employment, agency, fiduciary, or trust relationship between Kabuni and you. The parties are independent contracting parties acting on a principal-to-principal basis. You have no authority to bind Kabuni contractually and may not represent to any third party that you act as Kabuni’s agent or representative.
Notices
All formal notices required or permitted under these Terms must be in writing, in the English language, and delivered by email or registered post to the respective addresses set out in these Terms or in the applicable B2B agreement. Email notices shall be deemed received on the date of transmission, provided no delivery failure notification is received within 24 hours.
Business Days
“Business Day” means a day that is not a Saturday, Sunday, or a public holiday in Mumbai, Maharashtra, India.
Order of Precedence
In the event of any inconsistency between documents forming part of your agreement with Kabuni, the following order of precedence applies: (i) any applicable B2B agreement prevails over all other documents; (ii) the KPL / Event-Specific Terms prevail over these Terms on matters of Event eligibility, participation, conduct, scheduling, refunds, and accident liability; (iii) these Terms prevail over the KPL / Event-Specific Terms on all other general Platform matters; and (iv) these Terms prevail over any general informational or marketing content on the Platform.
